Content Partner Agreement
Member agrees that this
Content Partner Agreement ("CPA") supplements the Twitvid.com
Terms of Use available at www.twitvid.com ("Terms of Service").
In the event of a conflict between these CPA and the Terms of Use, the
terms in these CPA shall control. The Terms of Use and CPA are
hereinafter collectively referred to as the "Agreement."
Capitalized terms not defined in these CPA will have the meanings assigned
to them in the Terms of Use.
1. Term of CPA
The
term of the CPA commences on the date on which Member accepts this CPA
("Commencement Date") and continues for a term of twelve
(12) months, and shall automatically renew for additional 12-month periods
unless terminated as provided below (each 12-month period being a "Term").
Either party may terminate the CPA at any time upon written notice to
the other party. Member must send notice of termination of the
CPA to support@twitvid.com. The Twitvid.com Terms of Use shall
continue to be in effect after termination of the CPA for any reason,
and Member shall continue to be bound by the Terms of Use.
2. Twitvid Ads
/ Charitable Donations
In addition to Twitvid's
rights under the Terms of Use, Member agrees that Twitvid may run advertisements
on all of Member's User Content posted on or through the Twitvid Service.
Twitvid agrees to make a donation to a nonprofit charity with IRS tax-exempt
status under section 501(c)(3) of the Internal Revenue Code ("Charity")
designated by Member, in the amount of $1 for every 1,000 views in the
United States of each of Member's User Content videos on which Twitvid
runs a video advertisement, subject to the Charity agreeing to sign
Twitvid's form of Charity Partner Agreement. Twitvid will e-mail Member
monthly statements accounting for donations made to the Charity under
this CPA.
3. Entire Agreement
These CPA set forth the
entire agreement and understanding of the parties, and merges and supersedes
all prior agreements, writings, commitments, discussions and understandings
between them, relating to the specific subject matter herein.
These CPA are intended by the parties to be read consistently with,
and complementary to, the Terms of Use which remains in full force and
effect, except as specifically amended and superseded pursuant to these
CPA.
